IMPORTANT: SECTION 17 REQUIRES INDIVIDUAL ARBITRATION OF MOST DISPUTES AND WAIVES CLASS ACTIONS AND JURY TRIALS. YOU MAY OPT OUT WITHIN 30 DAYS AS DESCRIBED IN SECTION 17.8.
1. ACCEPTANCE AND PARTIES
1.1 These Subscriber Terms of Service ("Subscriber Terms") are an agreement between UplinkIQ LLC ("UplinkIQ," "we," "us," or "our") and each Resident or Customer who uses the Services ("you" or "your").
1.2 You accept these Subscriber Terms by signing or electronically acknowledging them, by activating an account, or by using the Services. If your property owner provides you a copy of these Subscriber Terms, your acknowledgment to the owner is also acceptance.
1.3 These Subscriber Terms incorporate the UplinkIQ Acceptable Use Policy ("AUP") posted at https://uplinkiq.com/acceptable-use-policy/, the UplinkIQ Privacy Policy posted at https://uplinkiq.com/privacy-policy/, and the network management practices described in the AUP (together, the "Policy Documents"). If a Policy Document conflicts with these Subscriber Terms, these Subscriber Terms govern.
1.4 Your property owner purchases certain Services from UplinkIQ under a separate agreement. You are not a party to that agreement and it does not give you rights against UplinkIQ, except as stated in these Subscriber Terms.
2. DEFINITIONS
"Base Service": The internet access service provided to your unit through your property owner and included in your rent or community fees.
"Customer": A Resident who purchases Premium Services directly from UplinkIQ, and any other person who holds an UplinkIQ account.
"Equipment": Routers, gateways, access points, adapters, and other devices UplinkIQ supplies for your use.
"Premium Services": Services you purchase directly from UplinkIQ, including upgraded speed tiers, Static IP Service, Advanced Security Service, and VoIP.
"Resident": An occupant or lessee of a residential unit at a property served by UplinkIQ.
"Services": Base Service, Premium Services, community Wi-Fi, and any related service UplinkIQ provides.
"User": Any person who uses the Services at your unit or under your account, including household members and guests.
3. SERVICES
3.1 Base Service. Where your property provides Base Service, UplinkIQ delivers internet access to your unit at the base speed stated for your property (currently up to 300 Mbps download and 300 Mbps upload) with no data cap, subject to the AUP and network management practices. Base Service is best-effort service.
3.2 Premium Services. You may purchase Premium Services available at your property at the prices then posted or quoted to you. Premium Services are month-to-month unless your order states otherwise.
3.3 Community Wi-Fi. Wi-Fi in common areas is shared, is provided as a convenience, and is not a private or secure network. Use it at your own risk.
3.4 Changes to Services. We may change, upgrade, or discontinue features. We will give you at least 30 days' notice before a change that materially reduces a Service you pay for directly, and you may cancel that Service without charge before the change takes effect.
4. ACCOUNTS AND ELIGIBILITY
4.1 You must be at least 18 years old and a Resident, or authorized by a Resident, to open an account.
4.2 You must provide accurate information and keep it current. You are responsible for your account credentials and for all use of the Services at your unit or under your account, including use by any User.
4.3 We may verify identity or creditworthiness before providing Premium Services, and we may require a deposit where permitted by law.
5. FEES, BILLING, AND PAYMENT
5.1 Base Service. Your property owner pays UplinkIQ for Base Service. UplinkIQ does not bill you directly for Base Service. Questions about how Base Service is charged in your rent go to your property owner.
5.2 Premium Services. Premium Services are billed monthly in advance. You authorize us to charge your selected payment method each billing cycle until you cancel.
5.3 Taxes and Fees. Prices do not include applicable taxes and government fees, which we will itemize on your bill.
5.4 Price Changes. We will give you at least 30 days' notice before increasing the price of a Premium Service.
5.5 Late or Failed Payments. If a payment fails or is late, we may suspend Premium Services after notice. UplinkIQ charges no late fee. Suspension of Premium Services does not affect Base Service.
5.6 Billing Disputes. You must notify us of a billing dispute within 60 days of the bill date. We will investigate and respond in writing. You need not pay the disputed amount while we investigate.
6. EQUIPMENT
6.1 Ownership. UplinkIQ owns all Equipment. You receive only the right to use it at your unit while you receive Services.
6.2 Care. Do not move, open, modify, or reconfigure Equipment except as we instruct. Keep it in a safe, ventilated location with power. Report damage or malfunction promptly.
6.3 Loss or Damage. You are responsible for Equipment loss or damage beyond normal wear while it is in your unit, and for Equipment not returned under Section 6.4. Charges for your community are posted in your client portal. Increases take effect 30 days after posting.
6.4 Return. When you move out or cancel, leave Equipment in the unit or return it as we or your property owner direct.
6.5 Your Own Devices. You may connect your own lawful devices that do not harm the network. We may disconnect devices that threaten network security or other Residents' service.
6.6 Software and Firmware. We may update Equipment software and firmware remotely at any time.
7. INSTALLATION, ACCESS, AND WIRING
7.1 You authorize UplinkIQ and its contractors, coordinated with your property owner, to enter your unit at reasonable times to install, maintain, repair, or remove Equipment. We will give reasonable advance notice except in an emergency.
7.2 In-unit wiring belongs to your property owner. UplinkIQ is not responsible for in-unit wiring faults unless we installed or damaged the wiring.
7.3 Nothing in these Subscriber Terms limits your right to obtain services from another provider or to install your own reception device as permitted by FCC rules.
8. SERVICE PERFORMANCE
8.1 Speeds. Advertised speeds are the maximum provisioned speeds to your unit over a wired connection. Actual speeds vary with Wi-Fi conditions, your devices, network congestion, and internet destinations. Speeds are not guaranteed except where a Premium Service order expressly states a guarantee.
8.2 Availability. We target 99.5% monthly network availability at each property. That target is a performance objective and not a guarantee to individual Residents.
8.3 Maintenance. We may perform scheduled and emergency maintenance and will try to schedule planned work at low-usage times with advance notice where practicable.
8.4 Outage Credits. If a Premium Service you pay for directly is unavailable for more than 24 consecutive hours because of a failure within UplinkIQ's control, you may request a prorated credit for that Service within 30 days of the outage. Credits are not available for outages caused by you, your Users, your devices, in-unit wiring, third-party networks, suspension under the AUP, or events described in Section 21.3.
8.5 Community Information. Plans, pricing, fees, and performance information for your community are available in your client portal.
9. VOIP SERVICE AND 911 LIMITATIONS
9.1 Registered Location. You must provide the physical address and unit number where you will use VoIP service, and update it before moving the service. Emergency calls are routed using this registered location.
9.2 911 Limitations. VoIP 911 service differs from traditional telephone 911 service. VoIP 911 calls will not work, or may not work correctly, if:
- Power to your unit or Equipment fails;
- Your internet connection or the UplinkIQ network is down or suspended;
- Your account is suspended or cancelled;
- You move your VoIP device without updating your registered location;
- Network congestion or a third-party failure delays or prevents call completion.
9.3 Acknowledgment. Before activating VoIP service, you must acknowledge these limitations in writing or electronically. You agree to inform all Users of these limitations and to place the warning label we provide on or near each VoIP device.
9.4 Backup Power. VoIP service does not include backup power. You may purchase backup power for your Equipment from a retailer.
10. ACCEPTABLE USE AND NETWORK MANAGEMENT
10.1 You and all Users must comply with the AUP. You are responsible for AUP violations by any User.
10.2 We use reasonable network management practices, described in the AUP, to protect network security and performance.
11. PRIVACY
11.1 Our collection, use, and disclosure of information is described in the Privacy Policy.
11.2 We share with your property owner only the information needed to activate, support, and deactivate service at your unit and to track Equipment. We do not share the content of your communications or your browsing activity with your property owner.
12. SECURITY
12.1 You are responsible for securing your devices and home network, including Wi-Fi passwords.
12.2 No network is completely secure. Advanced Security Service reduces risk but does not prevent every threat.
13. SUSPENSION AND TERMINATION
13.1 By You. You may cancel Premium Services at any time by contacting us. Cancellation takes effect at the end of the current billing cycle. There is no early termination fee.
13.2 Move-Out. Base Service at your unit ends when your occupancy ends. Premium Services end at move-out unless you cancel earlier.
13.3 Property Agreement Ends. If the agreement between UplinkIQ and your property owner ends, Base Service ends. We will give you as much notice as practicable and will offer any Premium Services we can continue to provide.
13.4 By UplinkIQ. We may suspend or terminate Services as provided in the AUP, for non-payment of Premium Services, for fraud, to comply with law, or to protect the network or other Residents.
13.5 Effect. On termination you must stop using the Services and return Equipment as provided in Section 6.4. Sections 5, 6, 14, 15, 16, 17, and 21 survive termination.
14. DISCLAIMERS
14.1 EXCEPT AS EXPRESSLY STATED IN THESE SUBSCRIBER TERMS, THE SERVICES AND EQUIPMENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, UPLINKIQ DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14.2 We do not guarantee uninterrupted or error-free service, specific speeds or performance levels except as expressly stated, compatibility with all devices or applications, or the security of data transmitted over the internet.
14.3 We are not responsible for third-party content, websites, or services accessed through the Services.
15. LIMITATION OF LIABILITY
15.1 TO THE FULLEST EXTENT PERMITTED BY LAW, UPLINKIQ IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST DATA, LOST PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM THE SERVICES OR EQUIPMENT.
15.2 UPLINKIQ'S TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID UPLINKIQ DIRECTLY FOR THE AFFECTED SERVICE DURING THE THREE (3) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).
15.3 These limits do not apply to liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or personal injury caused by UplinkIQ's negligence.
15.4 If you desire liability coverage exceeding these limits, you may purchase additional insurance coverage at your own expense.
16. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless UplinkIQ LLC, its affiliates, and their respective officers, directors, employees, and agents from any third-party claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, any User's use of the Services at your unit or under your account, or violation of these Subscriber Terms or the AUP by you or any User, except to the extent caused by UplinkIQ's own negligence or misconduct.
17. DISPUTE RESOLUTION; ARBITRATION
17.1 Informal Resolution First. Before starting arbitration or a small claims case, the party raising a dispute must send a written notice describing the dispute and the relief requested. Send notices to UplinkIQ at care@uplinkiq.com or the address above. The parties will try in good faith to resolve the dispute for 30 days after the notice is received.
17.2 Agreement to Arbitrate. Except as provided in Sections 17.4 and 17.8, you and UplinkIQ agree that any dispute, claim, or controversy arising out of or relating to the Services, Equipment, these Subscriber Terms, or the Policy Documents ("Dispute") will be resolved by binding individual arbitration rather than in court. This agreement to arbitrate is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
17.3 Arbitration Rules and Costs. The American Arbitration Association ("AAA") will administer the arbitration under its Consumer Arbitration Rules. The arbitration will take place in the county where your unit is located, or by video or written submissions if you prefer. UplinkIQ will pay all AAA filing, administration, and arbitrator fees above the consumer filing fee set by the AAA Consumer Arbitration Rules. The arbitrator may award the same individual relief a court could award.
17.4 Exceptions. Either party may bring an individual claim in small claims court if the claim qualifies. Either party may seek court relief to stop infringement of intellectual property or unauthorized access to the network. Nothing in this Section prevents you from filing a complaint with a government agency, such as the FCC or a state Attorney General.
17.5 Class Action Waiver. YOU AND UPLINKIQ AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person.
17.6 Jury Trial Waiver. YOU AND UPLINKIQ WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY DISPUTE.
17.7 Severability. If the class action waiver in Section 17.5 is found unenforceable as to a claim, that claim must proceed in court and not in arbitration, and the rest of this Section 17 continues to apply to all other claims.
17.8 Right to Opt Out. You may opt out of this Section 17 by sending written notice to care@uplinkiq.com within 30 days after you first accept these Subscriber Terms. The notice must include your name, property, and unit number and state that you opt out of arbitration. Opting out does not affect any other part of these Subscriber Terms.
17.9 Court Venue. Any Dispute not subject to arbitration will be brought exclusively in the state or federal courts located in the state and county where your unit is located.
18. CHANGES TO THESE SUBSCRIBER TERMS
18.1 We may update these Subscriber Terms. We will give you at least 30 days' notice of material changes by email, billing statement, property notice, or posting at https://uplinkiq.com/terms-of-service/. Non-material changes take effect when posted. The current version is always available at that address.
18.2 If you do not agree to a material change, you may cancel Premium Services without charge before the change takes effect. Continued use of the Services after the effective date constitutes acceptance.
18.3 A change to Section 17 does not apply to a Dispute of which UplinkIQ had notice before the change took effect.
19. GOVERNING LAW
These Subscriber Terms are governed by the laws of the state where your unit is located, without regard to conflict of laws principles, except that Section 17 is governed by the Federal Arbitration Act.
20. NOTICES
20.1 We may send you notices by email, text message, billing statement, notice delivered through your property owner, or posting on our website.
20.2 You may send notices to UplinkIQ at care@uplinkiq.com or UplinkIQ LLC, 1421 Clarkview Road Suite 105, Baltimore, MD 21209.
21. GENERAL PROVISIONS
21.1 Assignment. We may assign these Subscriber Terms to an affiliate or successor. You may not assign them without our written consent.
21.2 Entire Agreement. These Subscriber Terms and the Policy Documents are the entire agreement between you and UplinkIQ regarding the Services.
21.3 Force Majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including power outages, severe weather, fire, flood, labor disputes, government action, and failures of third-party networks or utilities.
21.4 Severability. If any provision is held unenforceable, the remaining provisions remain in effect, subject to Section 17.7.
21.5 No Waiver. Our failure to enforce a provision is not a waiver of it.
21.6 Survival. Provisions that by their nature should survive termination will survive.
